Agency Referral Partner Program: Terms and Conditions

Welcome to our Referral Partner Program. By participating in this Program, you (the “Referrer”) agree to be bound by the following Terms and Conditions (the “Agreement”). Please read them carefully before submitting any referrals.

1. Eligibility & Enrollment

Open to: Individuals and businesses aged 18 or older who register through our official partner application form.

Approval: We reserve the right to accept or decline any applicant at our sole discretion.

2. Qualified Referrals

To qualify for a referral fee, the referral must meet the following criteria:

New Clients Only: The referred lead must not be an existing client, past client, or an active prospect already in our sales pipeline.

Tracking: The lead must submit their inquiry using your unique referral link or explicitly name you as the referrer during their initial consultation.

Conversion: The lead must sign a formal contract and make their first payment within 90 days of the initial introduction.

3. Referral Commission Structure

Commission Rate: You will earn a commission equal to 20% of the total project cost.

Exclusions: The total project cost excludes any third-party expenses, software licensing fees, advertising spend, taxes, or subsequent project add-ons signed after the initial contract.

Scope Limits: Commissions apply only to the initial project contract value and do not apply to ongoing monthly retainers unless explicitly stated otherwise in writing.

4. Payment Terms

Triggers: Commission is earned only after the client’s payment has cleared.

Schedule: Payments are processed on the 15th day of the following month after the client pays their invoice.

Methods: Payouts will be made via PayPal or Direct Bank Transfer. You are responsible for any transaction fees or local taxes.

Refunds: If a client requests a refund or disputes a charge, any corresponding referral fee paid to you will be deducted from your future earnings.

5. Independent Contractor Relationship

You participate in this program strictly as an independent contractor.

This agreement does not create a partnership, joint venture, agency, franchise, or employment relationship between you and our agency.

You have no authority to bind our agency to any contracts or make representations on our behalf.

6. Prohibited Activities

You agree to represent our agency ethically. The following practices are strictly prohibited and will result in immediate termination from the program:

Spamming: Sending unsolicited bulk emails or messages.

Misrepresentation: Making false promises regarding our pricing, timelines, or deliverables.

Self-Referrals: Referring your own business, subsidiary, or yourself for internal projects.

Paid Search Ads: Bidding on our brand keywords (e.g., Google Ads) to drive traffic to your referral link.

7. Term and Termination

At-Will: Either party may terminate participation in this Program at any time, with or without cause, by giving written notice.

Post-Termination: Upon termination, any outstanding qualified referrals that convert within 30 days will still be honored, provided you did not breach these terms.

8. Limitation of Liability & Indemnification

Our agency will not be liable for indirect, special, or consequential damages arising in connection with this Program.

You agree to indemnify and hold harmless our agency from any claims, damages, or expenses resulting from your actions or misrepresentations.

9. Acknowledgment and Acceptance
